1. Acceptance of Terms

By accessing and using BankStatementFlow ("Service"), operated by BankStatementFlow Inc. ("Company", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement.

2. Service Description

BankStatementFlow provides AI-powered document processing services for financial documents including:

• Bank statements from all major financial institutions
• Invoices and receipts
• Financial reports and documents
• Password-protected PDF documents
• Image files including photos and screenshots

Our service uses advanced artificial intelligence and machine learning technologies to extract structured data with 99% accuracy, providing exports in multiple formats including Excel, CSV, JSON, XML, and direct integrations with accounting software such as QuickBooks and Xero.

2.1 Service Features

• AI Document Processing: Automated extraction of financial data from various document types
• Multi-format Support: PDF, JPG, PNG, and other image formats
• Export Options: Multiple output formats for integration with existing workflows
• API Access: Programmatic access for developers and enterprise users
• Custom AI Instructions: Tailored processing rules for enterprise customers
• Multi-language Support: Document processing in 16+ languages
• Security Features: Bank-level encryption and automatic data deletion

3. Payments and Subscription

3.1 Payment Processing

All services are billed on a monthly basis with a WayForPay payment provider using Visa, MasterCard, Apple Pay or Google Pay payment systems, with payments due before service activation or renewal.

3.2 Payment Obligations

Failure to pay may result in suspension or termination of the service.

3.3 Non-Refundable Services

No refunds will be issued for early cancellations or non-usage of the service, except as specified in Section 4 (Refund Policy).

3.4 Price Changes

Prices are subject to change with prior notice to customers. We will provide at least 30 days' notice of any price changes.

4. Refund Policy

4.1 Eligibility for Refunds

Refunds are available for unused portions of prepaid service periods under the following conditions:

• The service has been cancelled through the proper channels in your account dashboard
• The refund request is submitted within 7 days of cancellation
• Only the unused portion of the service period will be refunded
• The refund amount will be calculated on a pro-rata basis from the cancellation date

4.2 Pro-rata Refund Calculation

Example of pro-rata refund calculation:

• Monthly subscription cost: $20
• Cancelled after 7 days
• Refund amount: $15.33 (23 remaining days)

4.3 Refund Exclusions

• No refunds for accounts terminated due to Terms of Service violations
• Setup fees or one-time charges are non-refundable
• Refunds will be processed using the original payment method

5. User Accounts and Responsibilities

5.1 Account Creation

To use our Service, you must create an account by providing accurate, complete, and current information. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

5.2 Account Security

You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

5.3 Usage Limits

Your account is subject to monthly processing limits based on your subscription plan. Exceeding these limits may result in additional charges or temporary service suspension.

6. Service Usage and Restrictions

6.1 Permitted Use

You may use our Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To process documents containing information that you do not have the right to process
• To attempt to gain unauthorized access to our systems or networks
• To reverse engineer, decompile, or disassemble our Service
• To use automated systems to overwhelm our servers beyond your subscription limits
• To process documents containing illegal content or personally identifiable information of third parties without consent

6.2 Content Responsibility

You are solely responsible for the content of documents you upload to our Service. You represent and warrant that you have all necessary rights to process the information contained in your documents and that such processing complies with all applicable laws and regulations.

6.3 API Usage

If you use our API services, you must comply with our API documentation and rate limits. Excessive API usage may result in temporary throttling or suspension of API access.

7. Data Processing and Privacy

7.1 Data Handling

We process your documents using secure, encrypted systems with bank-level security protocols. All document data is automatically deleted from our servers within 90 days of processing completion, unless you specify a different retention period in your account settings.

7.2 Data Security

We employ enterprise-grade encryption, secure data transmission protocols, and comply with industry-standard security practices to protect your sensitive financial information.

7.3 Privacy Policy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding data collection, use, and protection.

7.4 Data Retention

You can customize your data retention period from 1 to 365 days in your account settings. After the specified retention period, all documents and extracted data are permanently and securely deleted from our systems.

8. Intellectual Property

8.1 Our Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of BankStatementFlow and its licensors. The Service is protected by copyright, trademark, and other laws.

8.2 Your Rights

You retain all rights to your original documents and processed data. We claim no ownership rights over your content.

9. Service Availability

We strive to maintain high availability of our Service but cannot guarantee 100% uptime. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall BankStatementFlow, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

11. Indemnification

You agree to defend, indemnify, and hold harmless BankStatementFlow and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

12. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

13. Governing Law

These Terms shall be interpreted and governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
